Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and dellv inc (“dellv.”, “we”, “us”) governing your use of the dellv. platform and websites (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and “you” includes that organization. You are responsible for your account, for keeping your credentials secure, and for all activity under your account.
2. The Service
dellv. is an outbound sales CRM and cold-email platform that lets you import contacts, build and send email sequences from your own connected mailboxes, manage replies and pipeline, and schedule meetings. Features and limits depend on your plan and may change over time.
3. Acceptable use and anti-spam compliance
You are solely responsible for the messages you send and the contacts you email through the Service. You agree that you will:
- Comply with all applicable laws and regulations, including anti-spam and privacy laws such as CAN-SPAM, GDPR, and CASL.
- Only email recipients you have a lawful basis to contact, and accurately identify yourself and the purpose of your messages.
- Honor unsubscribe and opt-out requests promptly, and include required sender identification and a valid physical postal address where the law requires it.
- Not send unsolicited bulk mail to purchased, scraped, or otherwise non-consented lists in violation of applicable law, nor send unlawful, deceptive, harassing, or malicious content.
- Not attempt to circumvent sending limits, deliverability protections, or security controls, or use the Service to harm the reputation of any mailbox or domain.
We may throttle, suspend, or terminate accounts that generate excessive bounces or spam complaints, or that we reasonably believe violate these Terms or applicable law. You are responsible for consequences arising from your use, including deliverability outcomes and complaints.
4. Your content and data
You retain ownership of the contacts, content, and data you provide (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the Service. You represent that you have the rights necessary to provide Your Content and that it does not infringe others’ rights or violate law.
5. Third-party services
The Service integrates with third parties such as Google (Gmail and Calendar) and payment providers. Your use of those services is governed by their terms, and dellv. is not responsible for third-party services. Access via Google APIs is also subject to Google’s policies and the disclosures in our Privacy Policy.
6. Plans, billing, and cancellation
- Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment provider and renew automatically until canceled.
- A free plan and any introductory period are provided as described at signup and may change.
- You can cancel at any time from your account; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.
- We may change prices with reasonable prior notice, effective on your next renewal.
7. Intellectual property
The Service, including its software, design, and content (excluding Your Content), is owned by dellv. and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works except as permitted by law.
8. Termination
You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or to protect the Service or others. On termination, your right to use the Service ends; we may delete Your Content after a reasonable period, subject to our Privacy Policy and applicable law.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant any particular deliverability, inbox placement, open, reply, or conversion outcome, which depend on factors outside our control, including your practices and third-party mailbox providers.
10. Limitation of liability
To the maximum extent permitted by law, dellv. and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim.
11. Indemnification
You will indemnify and hold harmless dellv. from claims, damages, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law, including anti-spam laws.
12. Governing law and disputes
These Terms are governed by the laws of [State/Country], without regard to conflict-of-laws rules. The courts located in [Jurisdiction] will have exclusive jurisdiction, unless applicable law provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated date and, where appropriate, additional notice. Your continued use after changes take effect constitutes acceptance.
